1. Agreement to Terms
By accessing or using ScreenAssist (“the Service”), operated at screenassist.ai, you agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, you may not use the Service.
These Terms constitute a legally binding agreement between you (“User,” “you,” or “your”) and ScreenAssist (“we,” “us,” or “our”).
2. Description of Service
ScreenAssist is an AI-powered screenplay analysis platform that provides:
- Automated screenplay coverage and analysis across multiple dimensions (structure, story, craft, market, production, and casting)
- AI-assisted chat functionality for discussing your scripts
- Team collaboration features for organizations
- Exportable reports and analysis documents
The Service is designed for entertainment industry professionals including screenwriters, producers, managers, agents, distributors, and studio executives.
3. Account Registration
To use ScreenAssist, you must:
- Create an account using email and password or a supported authentication provider
- Be at least 18 years of age
- Provide accurate and complete information
- Maintain the security of your account credentials
You are responsible for all activities that occur under your account. You must notify us immediately of any unauthorized use of your account.
4. Intellectual Property Rights
4.1 Your Content
You retain all ownership rights to the screenplays and creative content you upload. ScreenAssist does not claim any intellectual property rights over your work.
By uploading content, you grant us a limited, non-exclusive license to:
- Process your screenplay to provide the analysis services you request
- Store your content and analysis results for your access
- Display your content back to you and authorized team members
This license terminates when you delete your content or close your account.
4.2 Our Service
ScreenAssist, including its design, features, analysis methodologies, and software, is protected by intellectual property laws. You may not:
- Copy, modify, or create derivative works of our Service
- Reverse engineer or attempt to extract the source code
- Use our branding, trademarks, or analysis frameworks without permission
- Scrape, harvest, or collect data from our Service programmatically
5. Acceptable Use
You agree to use ScreenAssist only for lawful purposes. You may not:
- Upload content you do not have the right to use or share
- Upload content that infringes on others' intellectual property rights
- Use the Service to analyze scripts you have obtained without authorization
- Upload content that is illegal, harmful, threatening, abusive, or otherwise objectionable
- Attempt to gain unauthorized access to our systems or other users' accounts
- Use automated systems (bots, scrapers) to access the Service
- Interfere with or disrupt the Service or its infrastructure
- Resell or redistribute our analysis services without authorization
6. Payments and Credits
6.1 Pricing
ScreenAssist operates on a credit-based system. You purchase credits which can be used to analyze screenplays. Current pricing is displayed on our website and is subject to change with notice.
6.2 Purchases
All purchases are processed through Stripe. By making a purchase, you:
- Agree to Stripe's terms of service
- Authorize us to charge the payment method you provide
- Confirm you are authorized to use the payment method
6.3 Credits and Refunds
Credits are non-refundable once purchased, except:
- If our Service fails to complete an analysis due to technical errors, we will restore the credit used
- In cases of duplicate charges or billing errors, we will process refunds
- Where required by applicable consumer protection laws
Credits do not expire and remain valid as long as your account is active.
7. AI-Generated Analysis
Our screenplay analysis is generated using artificial intelligence technology. You acknowledge and agree that:
- AI-generated analysis represents automated assessments and should not be considered professional consulting or legal advice
- Analysis results are subjective opinions generated by AI and may not reflect industry consensus
- The AI may occasionally produce inaccurate, incomplete, or unexpected results
- You should use your own judgment when acting on analysis recommendations
- Casting suggestions are hypothetical and do not represent actual casting attachments or commitments
8. Team and Organization Features
If you create or join an organization on ScreenAssist:
- Organization administrators can manage team member access
- Scripts and analyses may be visible to other organization members based on settings
- You are responsible for ensuring you have the right to share any content with your organization
- Organization owners are responsible for the actions of their team members
9. Confidentiality
We respect the confidential nature of screenplay content. We will:
- Maintain reasonable security measures to protect your content
- Not share your screenplay content with third parties except as necessary to provide the Service
- Not use your content for training AI models or for purposes beyond providing the Service
However, we cannot guarantee absolute security. You should only upload content you are comfortable storing in a cloud-based service.
10. Disclaimers
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:
- Warranties of merchantability, fitness for a particular purpose, or non-infringement
- Guarantees that the Service will be uninterrupted, secure, or error-free
- Accuracy, reliability, or completeness of AI-generated analysis
- The commercial success or viability of any screenplay analyzed
We do not provide professional script consulting, legal advice, or industry guarantees. Our analysis is intended as a supplementary tool, not a replacement for professional judgment.
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, SCREENASSIST SHALL NOT BE LIABLE FOR:
- Any indirect, incidental, special, consequential, or punitive damages
- Loss of profits, data, use, goodwill, or other intangible losses
- Damages resulting from unauthorized access to your account or content
- Damages arising from reliance on analysis results or recommendations
Our total liability for any claims arising from your use of the Service shall not exceed the amount you paid to us in the twelve (12) months preceding the claim.
12. Indemnification
You agree to indemnify and hold harmless ScreenAssist and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable legal fees) arising from:
- Your use of the Service
- Your violation of these Terms
- Your violation of any third-party rights, including intellectual property rights
- Content you upload that infringes on others' rights
13. Service Modifications and Termination
13.1 Service Changes
We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time. We will provide reasonable notice for material changes that affect your use of the Service.
13.2 Account Termination
You may close your account at any time through your account settings. We may suspend or terminate your account if:
- You violate these Terms
- We are required to do so by law
- Your use of the Service poses a security risk or is harmful to other users
- Your account has been inactive for an extended period
Upon termination, your access to the Service will end, and we may delete your data after a reasonable retention period.
14. Governing Law and Disputes
These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which ScreenAssist operates, without regard to conflict of law principles.
Any disputes arising from these Terms or your use of the Service shall first be attempted to be resolved through good-faith negotiation. If a resolution cannot be reached, disputes shall be submitted to binding arbitration or resolved in the courts of competent jurisdiction.
15. Changes to Terms
We may update these Terms from time to time. We will notify you of material changes by:
- Posting the updated Terms on this page
- Updating the “Last updated” date
- Sending an email notification for significant changes
Continued use of the Service after changes become effective constitutes acceptance of the revised Terms.
16. General Provisions
- Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and ScreenAssist.
- Severability: If any provision of these Terms is found unenforceable, the remaining provisions will continue in effect.
- Waiver: Our failure to enforce any right or provision does not constitute a waiver of that right.
- Assignment: You may not assign your rights under these Terms without our consent. We may assign our rights to an affiliate or successor.
